Merchant Service Agreement

Agreed Binding Contract: This Merchant Service Agreement ("Agreement") creates a legally binding contract between Event Bridge Technologies (Pty) Ltd ("Event Bridge", "We", "Us") and the entity or individual organizing events ("Merchant", "You", "Organiser").

1. The Relationship

Event Bridge acts solely as a Technology Service Provider and Limited Commercial Agent for the Merchant. We provide the platform to sell tickets and process payments. We are not the creator, organizer, or owner of the events listed on the Service, unless stated otherwise.

2. Merchant Accounts & Verification (FICA)

2.1 Registration & KYC

To process payments and receive payouts, you must provide:

  • Legitimate business or personal details matching your bank account.
  • Proof of Identity and Proof of Residence/Business Address as required by South African FICA regulations.
  • Valid banking details for a South African bank account.

2.2 Account Security

You are responsible for all actions taken under your Merchant account. If your account is compromised due to your negligence (e.g., sharing passwords), you accept full liability for any financial losses or data breaches.

3. Fees, Payments & Payouts

3.1 Service & Processing Fees

Event Bridge charges a Service Fee and/or Payment Processing Fee per ticket sold. These fees are deducted at the source before payouts are calculated. Current fee structures are detailed in your Dashboard.

  • Passing Fees: You may choose to pass these fees on to the attendee or absorb them into the ticket price.
  • Non-Refundable Fees: Event Bridge and Paystack fees are non-refundable. If you issue a refund to a customer, the original processing fees are retained by Event Bridge and Paystack.

3.2 Payout Schedule

To ensure security and facilitate refunds for cancelled events, payouts are processed according to the following schedule:

  • Standard Payout: Funds are released to your nominated bank account 3-7 business days after the successful conclusion of the event.
  • Early Access: Early payouts prior to the event date are subject to approval and risk assessment by Event Bridge.

3.3 Taxes

You are solely responsible for determining which taxes (including VAT) apply to your ticket sales and for collecting, reporting, and remitting the correct tax to the South African Revenue Service (SARS). Event Bridge is not responsible for your tax obligations.

4. Chargebacks and Disputes

Financial Liability: The Merchant is fully liable for all Chargebacks, Reversals, and associated penalties.

If a ticket buyer disputes a charge with their bank (Chargeback) due to:

  • Event cancellation or significant alteration;
  • Failure to gain entry;
  • Dissatisfaction with the event;
  • Or suspected fraud on your part;

You agree to reimburse Event Bridge for the full amount of the chargeback plus any penalty fees levied by the bank. We reserve the right to deduct these amounts from your pending payouts or invoice you directly.

5. Event Cancellations & Refunds

5.1 Refund Policy

While you set the refund policy for your event, you agree to grant a full refund to attendees in the event of:

  • Event Cancellation.
  • Material change to the event (e.g., change of headline artist, venue change to a distant location).
  • Failure to perform as advertised.

5.2 Administration of Refunds

If an event is cancelled, Event Bridge will initiate refunds to attendees. You authorize us to use funds held in your account to process these refunds. If payout has already occurred, you agree to return the funds to Event Bridge immediately upon demand.

6. Data Protection (POPIA)

Both parties agree to comply with the Protection of Personal Information Act (POPIA). regarding attendee data:

  • Data Usage: You may use attendee data (names, emails) solely for event management and marketing your future events, provided you offer an "Unsubscribe" option.
  • Prohibition: You may not sell, trade, or share attendee data with third parties.
  • Security: You must take reasonable measures to protect the personal data exported from our system.

7. Intellectual Property & Branding

7.1 Your Content

You grant Event Bridge a worldwide, royalty-free license to use your event name, images, and logos to promote your event and the Event Bridge platform.

7.2 Event Bridge Branding

You agree to include the Event Bridge logo ("Tickets Available on Event Bridge") on all digital and print marketing materials. High-resolution assets are available in the Partner Resources page.

8. Prohibited Events

You may not use Event Bridge to sell tickets for events that:

  • Are illegal under South African law.
  • Promote hate speech, violence, or racial intolerance.
  • Involve gambling or lotteries without proper licensure.
  • Are sexually explicit in a manner violating local laws.
  • Have exclusive deals with other platforms / Only sold on another platform.

9. Limitation of Liability

Event Bridge is not liable for:

  • Any injury, damage, or loss occurring at your event.
  • The failure of the internet or payment gateways.
  • Low ticket sales or commercial failure of your event.
  • Any legal action taken against you or your event.

You agree to indemnify and hold Event Bridge harmless against any claims, lawsuits, or damages arising from your event operations.

10. Termination

Event Bridge reserves the right to suspend or terminate your account and withhold funds if we suspect fraud, violation of these Terms, or high chargeback rates.
