Merchant Service Agreement
Last Updated: December 28, 2025This Merchant Service Level Agreement ("Agreement") is entered into by and between Event Bridge Technologies (Pty) Ltd ("EventBridge", "We", "Us", "Platform"), a company registered in South Africa (Reg No: 2025/914159/07), and the entity or individual identified as the "Organiser" or "Merchant" ("You") upon registration.
By creating an account and selling tickets via EventBridge, you unequivocally accept these terms. This Agreement governs your use of our ticketing, cashless, and access control systems.
1. Nature of Relationship
EventBridge is not the creator, organizer, or owner of the events listed on the Platform. The contract for the sale of a ticket is strictly between the Organiser and the Ticket Buyer. We are not responsible for the production, safety, quality, or content of the event.
2. Platform Services
EventBridge provides a "Do-It-Yourself" digital dashboard that allows Organisers to:
- Create and list event details.
- Process ticket sales via integrated payment gateways.
- Manage guest lists and access control via our scanning apps.
- Utilize "Virtual Wallet" functionality for cashless environments.
We do not guarantee that the Platform will sell a specific number of tickets. All marketing and ticket velocity are the responsibility of the Organiser, although we provide AI-guided tools to assist.
3. Merchant Obligations
The Organiser warrants and undertakes that:
- Compliance: You have obtained all necessary permits, licenses, and permissions (including SASREA compliance) required to host the event.
- Accuracy: All event information (dates, venues, line-ups) is accurate. You are liable for claims arising from false advertising.
- Safety: You are solely responsible for the safety and security of attendees at the venue.
4. Fees and Settlements
4.1 Fee Structure
In consideration for the use of the Platform, EventBridge charges the following fees per ticket sold, which are deducted automatically from Gross Revenue before payout:
- Service Fee: 5.0% of the ticket face value.
- Payment Processing Fee: 2.9% + R1.00 per transaction (Gateway costs).
- Payout Fee: R5.00 flat fee per withdrawal/settlement.
- Complimentary Ticket Fee: R5.00 flat fee per issued ticket.

4.2 Payout Schedule
Payouts are processed based on the preference selected in your dashboard (Weekly or Post-Event) with preference for Weekly payouts qualification given to Organisers with good track record with EventBridge. Post-event payouts are settled within 2-4 business days after the event concludes, provided no disputes are active.
4.3 Right to Withhold
EventBridge reserves the right to withhold payouts if we reasonably suspect fraud, if the event is cancelled, or if there is a high volume of chargebacks. Funds may be held for up to 180 days to cover potential refund liabilities.
5. Refunds and Cancellations
If an event is cancelled, postponed, or materially changed, you (the Organiser) are legally required to refund buyers. You authorize EventBridge to refund customers directly from your holding balance. If your balance is insufficient, you agree to deposit funds into our account within 24 hours to cover the refund shortfall.
6. Chargebacks and Fraud
Any credit card chargeback initiated by a customer (e.g., for "Services not received") is the financial responsibility of the Organiser. EventBridge will deduct the chargeback amount plus any penalty fees levied by the bank (typically R150 - R250 per instance) from your settlement balance.
7. On-Site Equipment & Support
If you utilize EventBridge's on-site support services (Deployment Team), which includes but is not limited to branded gazebos, tables, NFC card machines, UV lights, and scanning devices:
- Liability for Damage: The Organiser assumes full liability for any loss, theft, or damage to EventBridge equipment caused by the Organiser's staff, event attendees, or security failures at the venue.
- Replacement Costs: You agree to pay the full replacement cost of any damaged equipment within 7 days of the invoice date.
- Connectivity: While our devices have offline capabilities, the Organiser is responsible for ensuring adequate cellular coverage or Wi-Fi at the venue for data syncing.
8. Virtual Walletâ„¢ & Cashless System
When using the EventBridge Virtual Walletâ„¢:
- EventBridge acts as a custodian of funds loaded onto wristbands/cards/apps by attendees.
- We release vendor revenue to the Organiser/Vendors only after reconciliation.
- We are not liable for transaction failures caused by hardware damage, power outages at the venue, or user error.
9. Intellectual Property & Data
Platform IP: EventBridge retains all rights to the software, code, and design of the Platform.
Customer Data: While you own the data specific to your event, you agree that EventBridge may retain user data for the purpose of operating the Platform, improving services, and legal compliance (POPIA).
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY SOUTH AFRICAN LAW, EVENTBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE, LOSS OF GOODWILL, OR INJURY TO PERSONS AT YOUR EVENT. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT OF SERVICE FEES EARNED BY EVENTBRIDGE FOR THE SPECIFIC EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless EventBridge, its directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising out of:
- Your breach of this Agreement.
- Negligence or misconduct at your event.
- Any dispute between you and a ticket buyer.
- Failure to comply with SASREA or other South African laws.
12. Governing Law
This Agreement shall be governed by the laws of the Republic of South Africa. Any disputes shall be resolved in the Magistrate's Court of Boksburg, or the High Court of South Africa (Gauteng Local Division), at EventBridge's discretion.
